These Terms of Service govern your use of the SVC Photo website and services provided by Svc Photography Alpha Inc. By accessing our website or engaging our services, you agree to be bound by these terms.

3. Service Agreements

3.1 Engagement

Specific terms for each project will be outlined in a separate service agreement or contract. These Terms of Service supplement but do not replace project-specific agreements.

3.2 Pricing and Payment

Service pricing will be provided in project proposals or quotes. Payment terms will be specified in individual service agreements. Unless otherwise stated, payment is due within 30 days of invoice date. Late payments may incur additional fees.

3.3 Cancellation and Rescheduling

Cancellation and rescheduling policies will be outlined in individual service agreements. Generally, cancellations made less than 48 hours before a scheduled service may result in cancellation fees.

4. Intellectual Property Rights

4.1 Photography Services

Unless otherwise agreed in writing, SVC Photo retains copyright and all intellectual property rights to all photographs and creative works produced. Clients receive a license to use the delivered images as specified in the service agreement.

4.2 Systems Design

Intellectual property rights for systems design work will be specified in individual service agreements. Generally, clients receive ownership of custom-developed solutions upon full payment, while SVC Photo retains rights to underlying methodologies and tools.

4.3 Portfolio Use

SVC Photo reserves the right to use completed work in portfolios, marketing materials, and promotional activities unless otherwise agreed in writing.

5. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Obtain necessary permissions and releases for photography subjects and locations
• Ensure safe working conditions for our team
• Provide timely feedback and approvals as required
• Make payments according to agreed terms
• Use delivered work only as authorized in the service agreement

6. Warranties and Disclaimers

6.1 Service Quality

We strive to provide high-quality professional services. However, services are provided on an as-is basis. We make no warranties, express or implied, regarding the results of our services beyond what is explicitly stated in service agreements.

6.2 Technical Issues

While we take precautions to protect data and equipment, we are not liable for technical failures, data loss, or equipment malfunction beyond our reasonable control.

6.3 Third-Party Services

We may utilize third-party services or tools in delivering our services. We are not responsible for the performance or reliability of third-party services.

7. Limitation of Liability

To the maximum extent permitted by law, SVC Photo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, including but not limited to:

• Loss of profits or revenue
• Loss of data or business opportunities
• Service interruptions or delays
• Errors or omissions in delivered work

Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless SVC Photo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms of Service
• Your violation of any rights of third parties
• Any content or information you provide to us

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of service delivery. This obligation survives the termination of the service relationship.

10. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or technical failures.

11. Dispute Resolution

11.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

11.2 Mediation and Arbitration

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to mediation or arbitration before pursuing litigation.

11.3 Jurisdiction

Any legal action related to these terms shall be brought in the courts of Ontario, Canada, and you consent to the jurisdiction of such courts.
